Why have Gogebic and Zeal entered into this transaction?

Gogebic was exploring options to achieve growth in an effort to increase value for their customers, employees, and shareholders. Zeal Credit Union’s mission and capabilities matched perfectly with these goals, bringing significant resources to grow GRB’s operations, while providing Zeal with GRB competencies, assets, and employees that will add significant value to the Credit Union.

How large is Zeal and where is Zeal Credit Union located?

Zeal is headquartered in Livonia, MI 48152 at 17250 Newburgh Road. Zeal serves over 65,000 members and has assets in excess of $825 million. Zeal operates 13 full-service branch locations, as well as one drive-thru only location. Zeal also belongs to the CO-OP network, which provides members access to 30,000+ surcharge-free ATMs and an additional 5,000 shared branch locations throughout the country through the Velera Shared Branch Network. Will there be staffing changes?

At this time, we do not anticipate significant changes to the staff resulting from the Transaction. While there will be adjustments as Gogebic integrates into Zeal Credit Union, the focus is on creating new opportunities for growth and collaboration. Gogebic employees will join together with Zeal employees, sharing a commitment to deliver financial services and expertise to families and small businesses throughout the communities we serve.

About the Future:

Where will headquarters be located?

After acquisition, headquarters of Zeal will remain at 17250 Newburgh Road, Livonia, MI 48152.

When will GRB see signage changes at branch locations?

GRB branches will begin seeing signage changes reflecting Zeal Credit Union’s name and logo on or before January 1, 2026.

Will there be any branch closures?

No, all of GRB’s branch locations will be maintained and added to Zeal’s existing branch locations, resulting in a network of 18 service locations throughout Michigan’s Upper and Lower Peninsula.

Will there be changes to GRB hours?

Currently, there are no plans to change the hours of operation. At Zeal, we continually review our hours of operations in all the regions where we operate in order to best serve our growing membership.

Is Zeal membership required?

Membership is part of belonging to Zeal Credit Union, and as such, a minimum balance of $5.00 is required to remain in your deposit accounts at all times to allow you the full benefits of credit union products and services. If at any time you choose to close your account, you may withdraw your full balance. However, we hope that you will stay and enjoy the many great benefits of belonging to a cooperative credit union where, as a member, you are an owner of the organization.

How do I become a Zeal member?

You will automatically become a member of Zeal Credit Union on the closing date of the transaction.

Who is eligible to be a member of Zeal?

All Gogebic customers, on the date the Transaction is completed, will automatically become members of Zeal. Additionally, Zeal is designated as a Community Development Financial Institution (CDFI), which allows Zeal to qualify for additional grant programs in support of its members and communities in financial need, such as low-income community support. Among other benefits, this designation provides Zeal with the ability to accept non-member deposits from any source.

How will I receive additional information about this transition?

You can visit this page at any time, by entering “ZealCU.org/GRB” in your web browser, for updates about the progression of the acquisition and the system integration that will follow. You will also receive periodic mailings and emails, with all of our updates and important notices, so please take this opportunity to update your contact information on file to ensure the information is current.

About Customer Accounts:

What’s the benefit to me related to this transition?

Through this acquisition, you’ll gain access to an expanded suite of consumer financial services, including loans, insurance, credit cards, investment services and more. As a member-owned, not-for-profit financial cooperative, Zeal is able to offer competitive rates and lower fees, and return excess capital in the form of dividends to members when it performs well.

Will my account number change?

In the short term, Gogebic’s customers will experience no impact to their accounts or account numbers. Your account number will remain the same until there is a system conversion of accounts and records from Gogebic Range Bank’s systems to Zeal Credit Union’s systems. At this time, a system conversion is expected to occur (on or about September 2026), and is subject to change. Zeal will work with you to minimize any changes or inconveniences during this transition period to make the process as smooth and as seamless as possible for you, our members. You will receive advance written notice and detailed information about your accounts prior to the conversion date.

Will my deposits continue to be federally insured?

Yes, your deposits will continue to be federally insured. Zeal is insured by the NCUA through the NCUSIF. Your deposits will continue to be federally insured to the maximum amount available, currently, to at least $250,000 per member, per account category, and backed by the full faith and credit of the United States Government. Please see a helpful comparison guide at the end of this document for reviewing differences between NCUA and FDIC insurance.

What happens if I already have both a Zeal account and a Gogebic account?

Following the closing of the Transaction, you will continue to have both accounts available for you at Zeal. In the event you have more than $250,000 at Zeal as a result of the Transaction, the excess will not be federally insured by the NCUA through the NCUSIF. Zeal will contact any former Gogebic customers who will have greater than $250,000 on deposit as a result of the Transaction to discuss options.

Will I be able to access my account through Zeal branches?

Immediately following the closing of the Transaction, you will have access to the same branch locations and ATM networks as you do currently as a Gogebic customer. Account access will be available at all Zeal locations following the system conversion (on or about September 2026). Please look for updates on this page with details as we move closer to the date of system conversion.

Will I still be able to use my current checks?

Yes, you will continue to be able to use your current checks. If new checks are necessary after the conversion date, you will receive a complimentary box.

Will I still be able to use my credit card?

Yes, you will continue to be able to use your current credit card. After the system conversion date, Zeal will introduce a new credit card and provide you with information about the available options.

Will I still be able to use my debit card?

Yes, you will continue to be able to use your current debit card. After the system conversion date, Zeal will provide you with a new debit card.

Will my online banking change?

Until the system conversion date, you will continue to access your online banking as you do now. As of the system conversion date (currently on or about September 2026), you will have access to Zeal’s secure online and mobile banking platform, which offers many easy and convenient options to help you manage your finances and customize your preferences.

When your name changes, will my direct deposit still work?

Yes, your direct deposit and automated regular withdrawals will continue to work without interruption after the closing of the Transaction. After the conversion date, the routing number associated with your account will change to 272477694. After the conversion date, you will likely need to change any recurring payments to your new Zeal account number and to Zeal’s routing number. However, Zeal will work with you to ensure there is no interruption to your electronic direct deposit or automated regular withdrawals.

Will the products and services offered by Gogebic be the same products and services offered by Zeal?

There will be no change to your current products and services following the date that Gogebic Range Bank will become Zeal Credit Union. Products and services available to you at Zeal Credit Union will be comparable to, or may even include additional products and services than, what you currently have available to you today. Our goal is to provide you with an array of solutions to meet your needs and help you financially succeed.

What will happen to my loans and other non-deposit accounts?

It is anticipated that all loans and other non-deposit accounts will transfer to Zeal upon closing of the Transaction unless you desire to pay-off the loan or close your non-deposit account. However, there may be loans that Zeal may not be permitted to acquire from Gogebic due to restrictions imposed by its primary regulator, the NCUA. Any loans that cannot be acquired by Zeal may be moved to a Zeal-affiliated credit union service organization (“CUSO”) or sold to another entity. Any impacted customers will be promptly
notified if their loan will be transferred to a CUSO or sold to another entity.

What will happen to the designated beneficiaries on my accounts?

Previously designated beneficiaries on your Gogebic accounts will follow to your account at Zeal. New beneficiary forms will not be required.

Will there be any changes to my account notices and statements?

You will continue to receive your monthly and quarterly statements and notices as usual. After the system conversion occurs, you will see that your statements and notices may have an updated design.
